These Terms of Service (“Terms”) govern your use of the Whack’em Platform (“Whack’em” or the “Platform”), a Telegram Open Network Mini Game where users can play the Whack’em game and earn game points. By accessing or using Whack’em, you agree to be bound by these Terms.

1. Acceptance of Terms: By accessing or using Whack’em, you agree to comply with these Terms. If you do not agree to these Terms, you may not use Whack’em.

2. User Conduct: You agree not to use Whack’em for any unlawful or prohibited purpose. You must comply with all applicable laws and regulations while using the Platform.

3. Intellectual Property: All content and materials available on Whack’em, including but not limited to text, graphics, logos, images, and software, are the property of Whack’em or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4. Disclaimers: Whack’em is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Whack’em does not guarantee the accuracy, completeness, or reliability of any content or materials on the Platform.

5. Game Points Conversion Terms: The conversion of game points into Whack’Em Tokens (“Airdrop Tokens”) is subject to the following terms and conditions:

a. Accrual of Game Points: Players can earn game points by engaging with the game, completing quests, and fulfilling specific tasks within the game environment.

b. Conversion Mechanism: The conversion of game points to Airdrop Tokens is determined by comparing an individual user’s earned points to the total game points issued to all users. For example, if 1,000,000 game points are issued in total and a user possesses 1,000 points on the conversion date, the user will be eligible for 0.1% of the Airdrop Token allocation designated for distribution.

c. Conversion Cap: No single user may convert game points for more than 1% of the total Airdrop Token supply. Any points exceeding this cap will be subject to an even vesting schedule over 12 months starting 30 days after the conversion date.

d. Eligibility Requirements: Conversion eligibility is contingent upon completion of specific quests/tasks which may include, but are not limited to, following the Whack’Em official Twitter account, subscribing to the Whack’Em Telegram channel, and activating the in-game wallet. Users will be notified of all required tasks ahead of the conversion date.

e. Amendments to Terms: Whack’Em reserves the right to modify or change the eligibility requirements and the terms and conditions of the Game Points to Airdrop Token Conversion at any time. Any such changes will be communicated through an updated version of the terms posted on the Whack’Em website.

f. Conversion Date and Allocation: The conversion date and the percentage of total token supply allocated for Airdrop (initially set at 5%) are determined at the sole discretion of Whack’Em. Whack’Em may, at its discretion, increase the Airdrop Allocation.

g. Non-Security: The Whack’Em Token is defined as a utility token and is not considered a security. It represents a mechanism to convert game points earned through gameplay into Airdrop Tokens, which hold no inherent monetary value.

h. Limitation of Liability:To the fullest extent permitted by law, Whack’em shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use Whack’em; (b) any conduct or content of any third party on Whack’em; (c) any content obtained from Whack’em; or (d) unauthorized access, use, or alteration of your transmissions or content.

k. Indemnification: You agree to indemnify and hold Whack’em, its affiliates, officers, directors, employees, developers and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of Whack’em or your violation of these Terms.

l. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Saint Kitts and Nevis, without regard to its conflict of law provisions.

m. Changes to Terms:Whack’em reserves the right to modify or replace these Terms at any time without prior notice at its sole discretion. It is your responsibility check for updates to this Terms of Services each time you use this site.
